It is a company limited by shares and operates on a not-for-profit basis. Its income and property are applied solely toward the advancement of its stated objects, and no dividend is distributed to its members.

Governance principles at a glance.

Proposed legal structure

The Society is proposed to be constituted as an independent non-profit professional body under applicable Indian law, with a written constitution, governing council, member general body and independent committees.

Democratic elections

After legal registration, office bearers are elected by the general body according to the Society’s constitution. Terms, quorum and eligibility are defined in writing.

Code of Ethics

A formal Code of Ethics governs member conduct, disclosures and public communication, enforced by the Ethics and Disciplinary Committee.

Membership rights

Rights and responsibilities of each membership category are defined in the constitution and become effective once membership is formally activated.

Conflict of Interest

A formal policy requires disclosure and management of actual or perceived conflicts across all committees, editors, reviewers and office bearers.

Financial transparency

Annual audited financial statements will be published in the Annual Report after operations commence.

Independent operation

The Society operates independently of its promoter and knowledge partner. Institutional support does not override governance.
