Preamble

A not-for-profit institutional platform.

The Technical Analysts Association of India (TAAI) is incorporated as a Section 8 company (Companies Act, 2013) with the object of promoting research, education, professional practice and ethical standards in the field of technical analysis of financial markets.

The Company is being established for objects of public utility and general public benefit. It shall be a not-for-profit body corporate with charitable, educational and professional purposes. The main objects and ancillary objects set out below shall be adopted, with such modifications as the Registrar of Companies may direct, in the Memorandum of Association of the Company upon incorporation.

Professional Membership

To establish and administer a structured framework of professional membership across student, associate, professional, fellow, corporate, institutional, honorary and founding categories, promoting a disciplined community of practitioners of technical analysis.

Technical Analysis

To advance the study, practice, methodology and standards of technical analysis of financial markets across equities, commodities, currencies, fixed income, cryptocurrencies, derivatives and emerging market instruments.

Financial Market Research

To promote structured and reproducible research in market behaviour, price action, cycles, quantitative modelling, behavioural finance and intermarket analysis.

Academic Research

To foster collaboration with universities, colleges, business schools and research institutions and to support academic research programmes, doctoral and post-doctoral studies in financial market research.

Research Publications

To publish research papers, working papers, monographs, occasional papers, technical reports, white papers, case studies and edited volumes on technical analysis and financial market research.

Peer-Reviewed Journal

To publish an academically rigorous, peer-reviewed journal dedicated to technical analysis and financial market research, following double-blind peer review, open access and international publication ethics.

To author, edit, publish, translate and distribute books on technical analysis, market research, financial literacy, professional ethics and allied subjects.

Newsletters

To publish member and public newsletters, research briefs, editorial commentaries and market observatories to disseminate research and educational content.

To publish periodicals, magazines and specialised bulletins to promote the discipline of technical analysis and support the professional community.

To formulate, publish, promote and enforce a Code of Ethics and Professional Standards governing the conduct of members and to establish an independent disciplinary framework.

To design, develop and operate digital knowledge platforms, learning management systems, research databases and member portals in furtherance of the Company’s objects.

To establish physical and digital libraries of books, journals, research papers, historical market data and audio-visual material for the use of members and the research community.

To promote investor education programmes, public lectures and outreach initiatives for the responsible understanding of financial markets and disciplined market participation.

To offer academic and educational consultancy to universities, colleges, government institutions and educational bodies on curriculum, research programmes and professional education in financial markets.

To offer research consultancy on methodology, reproducibility, editorial process, peer review and technical analysis research programmes.

To promote public awareness of technical analysis as a discipline, its ethical practice, its scientific foundations and its role within responsible market participation.

To promote structured professional networking among members, chapters, special-interest groups and international counterparts.

To encourage and support innovation in financial market research, including data science, machine learning, alternative data and quantitative methodology, applied to technical analysis.

Incidental & Ancillary Activities

To do all such other lawful acts, deeds and things as are incidental or conducive to the attainment of the above objects, or any of them, in accordance with the Companies Act, 2013 and applicable laws.

Non-Profit Undertaking

Application of income and property.

1. The income and property of the Company, howsoever derived, shall be applied solely towards the promotion of the objects of the Company as set forth in the Memorandum of Association.

2. No portion of the income or property of the Company shall be paid or transferred, directly or indirectly, by way of dividend, bonus or otherwise by way of profit, to persons who, at any time, are or have been members of the Company, or to any of them, or to any person claiming through any of them.

3. No member of the Board of Directors of the Company shall be appointed to any office of the Company that is paid by way of salary, fee or any other form of remuneration, save as otherwise permitted under the Companies Act, 2013 for a Section 8 Company.

4. Any surplus arising from the activities of the Company shall be applied solely towards the achievement of the objects of the Company and shall not be distributed, in any manner whatsoever, amongst the members.

5. Upon winding-up or dissolution of the Company, the remaining property shall not be distributed amongst the members of the Company but shall be given or transferred to another company registered under Section 8 of the Companies Act, 2013 having objects similar to those of the Company, in accordance with law.

6. The Company shall maintain independent accounts, be audited annually by qualified auditors, comply with statutory returns and file all disclosures required under the Companies Act, 2013.

Statutory Notice

Non-profit undertakings.

The Company will not engage in any activity which is not permitted for a Section 8 company under the Companies Act, 2013. Where any activity in furtherance of the objects requires a prior approval, licence, registration, permission or recognition under any law for the time being in force, such activity shall be undertaken only after obtaining such approval, licence, registration, permission or recognition.

Nothing in the objects set forth above shall be construed to authorise the Company to provide investment advice, portfolio management services, research analyst services or any other activity requiring registration with the Securities and Exchange Board of India (SEBI) unless the Company obtains such registration under applicable law.
